4. Nature of the Platform and CGA's Role
CGA Green Energy may operate in different capacities depending on the transaction:
- As a marketplace connecting Buyers with independent Sellers
- As a facilitator for quotations, RFQs, project leads and business introductions
- As a reseller, distributor or direct supplier of Products
- As an EPC contractor, installer, consultant or project manager
- As a referral or facilitation partner for banks, NBFCs, insurers and other third parties.
CGA's specific role will be identified, where applicable, in the relevant listing, quotation, invoice or Order Document.
When CGA acts only as a marketplace or facilitator, the purchase or service contract is directly between the Buyer and the relevant Seller. CGA does not become the manufacturer, lender, insurer or contracting service provider merely because the transaction originated through the Platform.
Nothing in these Terms excludes CGA's responsibilities where CGA is the direct Seller, installer or service provider or where liability cannot legally be excluded.
5. Eligibility and Authority
The Platform may be used only by persons legally competent to enter contracts under Indian law.
If you use the Platform for a company, partnership, institution, government body or other organisation, you represent that you have authority to bind that organisation.
A person below the legal age of contractual capacity may use the Platform only under the supervision of a parent or legal guardian. Orders involving financing, installation, ownership or payment must be entered into by a legally competent adult or authorised entity.
6. Registration and Accounts
Certain services may require registration. Users must:
- Provide accurate, complete and current information
- Maintain the confidentiality of passwords and login credentials
- Promptly update changed information
- Notify CGA immediately of suspected unauthorised access
- Accept responsibility for activity conducted through their account.
Users must not create accounts using false identities, impersonate another person, use another person's documents without authority or create multiple accounts for fraudulent purposes.
CGA may request identity, address, GST, business-registration, bank, certification or other documents for verification and legal compliance.
7. Seller Onboarding and Verification
Sellers may be required to provide:
- PAN, GST and business-registration details
- Address, contact and authorised-representative information
- Bank-account verification
- Manufacturer or distributor authorisation
- Product certifications and test reports
- Licences, permits and professional credentials
- Insurance, safety or installer certifications
- Previous project or performance information.
"Verified", "approved" or similar descriptions mean that specified documents or information were reviewed at a particular time. Verification is not a guarantee of a Seller's future conduct, financial condition, product performance or fulfilment of every Order.
CGA may conduct periodic re-verification and may suspend Sellers whose documents expire, become inaccurate or appear unreliable.
8. Seller Obligations
Every Seller must:
- Supply genuine, lawful, safe and accurately described Products and Services
- Hold all required registrations, licences, approvals and permissions
- Provide complete information regarding price, taxes, delivery, installation, warranty, return and cancellation conditions
- Avoid false, misleading or exaggerated claims
- Honour accepted quotations, Orders, warranties and after-sales obligations
- Issue legally compliant invoices
- Protect Buyer information and use it only for authorised transaction purposes
- Comply with consumer, tax, environmental, labour, safety, product-quality and e-commerce laws
- Avoid counterfeit, stolen, hazardous, recalled or prohibited Products
- Cooperate in complaints, returns, recalls and investigations.
Sellers are responsible for the legality and accuracy of their listings and for the quality, safety and conformity of Products or Services supplied by them.
9. Buyer Obligations
Buyers must:
- Provide accurate contact, delivery, billing and project information
- Review Product specifications, site requirements and quotation terms
- Make payments through authorised methods
- Obtain necessary property-owner, society, municipal or other permissions unless included in the Seller's scope
- Provide safe and reasonable site access
- Use Products according to manufacturer and installer instructions
- Avoid unauthorised modification, unsafe operation or tampering
- Inspect deliveries and promptly report shortages or visible damage
- Comply with applicable laws and safety requirements.
Commercial Buyers are responsible for conducting appropriate technical, financial and legal due diligence before entering large-value or project-based transactions.
10. Listings and Product Information
Product photographs may be illustrative. Actual Products may differ slightly in colour, appearance, packaging or configuration without materially affecting agreed specifications.
Technical descriptions, ratings, expected generation, efficiency, capacity, lifespan, environmental benefits and performance data may be based on information supplied by manufacturers or Sellers.
Sellers must disclose whether a Product is new, used, refurbished, imported, demonstration stock or subject to special conditions.
CGA may correct listing errors, remove unlawful content, request supporting documents or suspend inaccurate listings.
11. Certifications and Regulatory Compliance
Where relevant, Sellers must disclose applicable certifications, registrations or approvals, which may include BIS, ALMM, MNRE, IEC, CEA, electrical-safety, pollution-control, transport, battery, EV-equipment or other category-specific requirements.
Certification filters and document reviews assist Users but do not replace independent verification. Buyers should confirm that the selected Product and installation comply with the rules applicable to their location, electricity distribution company, project type and intended use.
12. Quotations, RFQs and Orders
Submitting an enquiry, RFQ or request for quotation does not create a binding Order.
Unless stated otherwise:
- A quotation is valid for the period specified in it
- Prices may change after expiration of the quotation
- An Order becomes binding when accepted by the relevant Seller and any required advance payment is received
- CGA or a Seller may reject an Order due to incorrect pricing, stock unavailability, failed verification, technical infeasibility or legal restrictions
- Any refund following such rejection will be processed according to the applicable Refund Policy.
A Buyer's purchase order containing additional terms will bind CGA or a Seller only if expressly accepted in writing.
13. Order Documents and Priority
An Order may be governed by additional documents, including a quotation, purchase order, invoice, project agreement, scope of work, delivery schedule or warranty.
If documents conflict, the following order generally applies:
- Signed project or service agreement
- Accepted quotation or purchase order
- Invoice and Product-specific conditions
- These Terms
- General website content.
Mandatory consumer rights and applicable law will always prevail.
14. Prices, Taxes and Additional Charges
Unless expressly stated:
- Prices are displayed in Indian Rupees
- GST, duties, delivery, unloading, civil work, approvals, testing, installation and commissioning may be charged separately
- Project estimates may change following a site survey or technical assessment
- Buyers will be informed of material additional charges before they are incurred.
CGA and Sellers may correct genuine typographical or technical pricing errors. No Order will be cancelled solely to avoid an accurately displayed and duly accepted price, except where permitted by law.
15. Payments
Payments must be made through payment methods authorised by CGA or the relevant Seller.
Third-party payment gateways may process payments under their own terms and privacy practices. CGA does not normally receive or store complete card credentials.
Users must not:
- Use unauthorised payment instruments
- Conduct fraudulent chargebacks
- Route suspicious or unlawful funds through the Platform
- Make off-platform payments to unknown persons claiming to represent CGA.
CGA may delay processing while verifying a payment or investigating suspected fraud.
16. Marketplace Fees and Commissions
CGA may charge listing fees, subscription fees, facilitation charges, transaction commissions, lead fees, service charges or other amounts disclosed before purchase.
CGA may also receive referral fees or commissions from Sellers, lenders, insurers or other partners. Such compensation does not guarantee approval, suitability or performance of a third-party product.
Applicable fees, billing periods, renewal conditions and taxes will be disclosed in the relevant plan or agreement.
17. Delivery, Title and Risk
Delivery dates are estimates unless expressly guaranteed in writing.
Delivery may be affected by stock, manufacturing, transport, permits, weather, strikes, site readiness or other circumstances.
The applicable Seller must provide delivery information, shipping charges and restrictions. Buyers must ensure that the delivery site is accessible and that suitable unloading or storage arrangements are available.
Title and risk pass according to the relevant invoice, quotation or delivery terms. Consumer rights concerning damaged, defective or incorrectly supplied Products remain unaffected.
18. Inspection, Shortage and Transit Damage
Buyers should inspect Products promptly upon delivery and record visible damage, shortages or incorrect items on the delivery receipt.
Claims should be submitted with the Order number, photographs, delivery documents and other reasonable evidence.
Failure to report visible damage immediately may affect a claim against the transporter but will not remove statutory rights concerning latent defects or matters that could not reasonably have been identified on delivery.
19. Installation, EPC and Project Services
Installation, engineering, procurement, construction, commissioning and maintenance services will be governed by an agreed scope of work.
Unless included in writing, a project price may exclude:
- Structural reinforcement and major civil work
- Roof repairs, asbestos removal or waterproofing
- Transformer, grid or distribution upgrades
- Government, DISCOM, municipal or land-related charges
- Additional cabling caused by changed site conditions
- Hazardous-material handling
- Work discovered to be necessary after the site survey.
Project timelines may depend on Buyer approvals, site readiness, equipment availability and third-party permissions.
Only trained and authorised personnel should install, repair or modify renewable-energy systems.
20. Performance Estimates and Energy Savings
Energy generation, savings, payback periods, efficiency, emissions reductions and performance estimates are projections, not guaranteed results, unless an express written performance guarantee is provided.
Actual results may vary due to:
- Weather, sunlight, wind and seasonal conditions
- Shading, dust, temperature and equipment degradation
- Grid outages, curtailment or voltage conditions
- Site orientation and structural limitations
- Fuel or feedstock quality
- Maintenance and operating practices
- Electricity tariffs and regulatory changes.
Users should obtain appropriate technical advice before relying on projections for investment or financing decisions.
21. Warranties
Products may carry manufacturer, Seller or installation warranties.
Warranty duration, coverage, exclusions and claim procedures will be stated in the relevant warranty document. Buyers must retain invoices, serial numbers and commissioning records.
Unless prohibited by law, warranties may exclude damage caused by:
- Misuse or improper storage
- Unauthorised installation or modification
- Failure to follow maintenance requirements
- Accidents, pests, corrosion or abnormal environmental conditions
- Electrical faults outside the supplied system
- Events outside the warrantor's reasonable control.
Where CGA is the direct Seller or service provider, CGA will honour its stated warranty and applicable statutory obligations.
22. Returns, Cancellations and Refunds
Returns, cancellations and refunds are governed by CGA's Refund Policy, the applicable Seller policy, Order Documents and Indian law.
Custom-made Products, specially procured equipment, activated subscriptions, completed services, civil work and substantially performed projects may have restricted cancellation rights, subject to applicable law.
No cancellation charge will be imposed on a Consumer unless similar charges are also borne by the relevant e-commerce entity or Seller when it cancels the transaction, as required by law.
Nothing in these Terms restricts remedies available for defective, unsafe, counterfeit, incorrectly described or materially non-conforming Products or Services.
23. Product Recalls
Sellers must promptly notify CGA and affected Buyers of any safety recall, regulatory prohibition or serious Product defect.
CGA may remove listings, suspend sales, notify Users and assist with repair, replacement, return or refund procedures. Sellers remain responsible for their recall and statutory obligations.
24. Subsidies, Incentives and Net Metering
CGA may assist with eligibility checks, documentation, subsidies, rebates, net-metering applications or other schemes.
Approval and payment are controlled by the relevant government authority, DISCOM or implementing agency. CGA does not guarantee:
- Eligibility
- Sanction or approval
- Processing timelines
- Continued availability of a scheme
- A particular subsidy amount
- Net-metering or grid connectivity.
Users are responsible for supplying genuine and complete documents. Government benefits may be changed or withdrawn without CGA's control.
25. Loans and Financing
Financing may be offered by independent banks, NBFCs or other authorised financial institutions.
Unless expressly disclosed and legally authorised, CGA is not a lender and does not make credit decisions.
Interest rates, processing fees, security, tenure, eligibility, foreclosure charges and repayment obligations are determined by the lender. Website figures are indicative and may change.
Submitting an application does not guarantee approval or disbursal. Borrowers must review the lender's agreement and key fact statement before accepting financing.
CGA may share application information with a selected lender only in accordance with the Privacy Policy and applicable law.
26. Insurance Services
Insurance products are issued and administered by authorised insurers or intermediaries identified in the policy documents.
Unless expressly stated and licensed, CGA is not the insurer and cannot independently approve claims or alter coverage.
Coverage, exclusions, premium, deductibles, inspections, claim timelines, repair, replacement and payout are governed by the insurer's policy.
Statements on the Platform are summaries only. Users must read the full insurance policy before purchase.
27. Used and Refurbished Equipment
Listings for used, refurbished or previously installed equipment must clearly disclose:
- Age and condition
- Usage or operating history, where available
- Known defects
- Remaining warranty
- Refurbishment details
- Inspection or test reports
- Dismantling, transport and reinstallation responsibility.
Buyers should obtain an independent technical inspection before purchasing high-value used equipment. No new-product warranty should be assumed unless expressly stated.
28. Biofuel, Biogas and Waste-Management Products
Sellers and Buyers dealing in biofuel, biogas, waste-processing or waste-to-energy solutions must comply with applicable environmental, fire, pollution-control, storage, transport, municipal and occupational-safety requirements.
Feedstock availability, fuel quality, calorific value, gas yield, waste composition and plant output may vary.
Hazardous waste, prohibited material or controlled substances must not be listed, transported, stored or processed through the Platform without all required permissions.
29. Environmental and Sustainability Claims
Carbon savings, environmental impact, renewable-energy generation and waste-diversion claims must be based on reasonable data and recognised methods.
Unless a separate written agreement provides otherwise, purchasing a Product does not automatically transfer carbon credits, renewable-energy certificates or similar environmental attributes.
Users must not make misleading "green", "carbon-neutral", "zero-emission" or equivalent claims based solely on participation in the Platform.
30. Ratings, Reviews and User Content
Users may submit reviews, comments, photographs, specifications and other content.
Users retain ownership of their content but grant CGA a non-exclusive, worldwide, royalty-free licence to host, reproduce, format and display it for operating and promoting the Platform.
Reviews must reflect genuine experiences. Users must not submit:
- Fake, paid or manipulated reviews
- Defamatory or abusive content
- Confidential or personal information without authority
- Infringing or unlawful material
- Malicious files or links.
CGA may moderate or remove content that violates these Terms while respecting applicable law.
31. Intellectual Property
The Platform's design, text, graphics, logos, software, databases and original content are owned by or licensed to CGA.
Users receive a limited, revocable, non-transferable right to use the Platform for lawful personal or business purposes.
No User may copy, scrape, republish, sell, reverse-engineer, misuse or create derivative works from Platform content without written permission, except as permitted by law.

33. Privacy, Cookies and Communications
Personal data is handled according to CGA's Privacy Policy and applicable data-protection law.
By submitting an enquiry or Order, Users authorise transaction-related communications through email, telephone, SMS or WhatsApp.
Promotional communications will be sent according to applicable consent and marketing rules. Users may opt out of promotional messages, but essential transaction, safety, payment and service communications may continue.
Cookies and similar technologies may be used for security, functionality, analytics and permitted advertising purposes.
34. Electronic Records and Signatures
Users consent to receiving agreements, invoices, notices and communications electronically.
Electronic acceptance, OTP confirmation, digital signatures, email approvals and other legally recognised methods may be used to form or evidence contracts.
Users should retain copies of relevant Order Documents.
35. Third-Party Services and Links
The Platform may contain links to manufacturers, Sellers, payment gateways, lenders, insurers, government portals and other third parties.
Third-party services are governed by their own terms and policies. CGA is not responsible for unrelated third-party websites, outages, security practices or independent decisions.
The inclusion of a link does not necessarily constitute endorsement.
36. Suspension and Termination
CGA may restrict, suspend or terminate access where reasonably necessary because of:
- Breach of these Terms
- Fraud, misuse or security risk
- False documents or expired licences
- Non-payment
- Legal or regulatory requirements
- Repeated complaints or unsafe Products
- Threats to Users or the Platform.
Where practicable, notice and an opportunity to respond will be provided. Immediate action may be taken for urgent safety, fraud or legal risks.
Users remain responsible for obligations incurred before termination.
37. Disclaimer
The Platform and general information are provided on an "as available" basis.
CGA does not guarantee uninterrupted access, error-free operation, continuous Product availability, approval of financing or subsidies, or particular commercial or energy results.
Technical calculators, blogs and general guidance are informational and should not replace professional engineering, electrical, financial, legal, tax or insurance advice.
This disclaimer does not exclude any warranty, duty or remedy that cannot legally be excluded.
38. Limitation of Liability
To the maximum extent permitted by law, CGA will not be liable for indirect, incidental, special or consequential losses, including loss of profit, opportunity, data or anticipated savings, arising from Platform use.
Where CGA acts solely as a marketplace facilitator, it is not responsible for independent Seller conduct except to the extent imposed by law.
For claims arising from paid services directly supplied by CGA, CGA's aggregate contractual liability will ordinarily not exceed the amount paid to CGA for the affected Product or Service.
These limits do not apply to fraud, wilful misconduct, gross negligence, personal injury caused by legally actionable conduct, breach of mandatory consumer rights or any liability that cannot lawfully be limited.
39. Indemnity
Business Users and Sellers agree to indemnify CGA against third-party claims, penalties and reasonable costs resulting from:
- Their breach of these Terms
- Illegal, unsafe or infringing listings
- False representations or documents
- Tax, licence or regulatory violations
- Misuse of Buyer information
- Products or Services supplied by them.
This clause will not require a Consumer to indemnify CGA for CGA's own breach, negligence or unlawful conduct.
40. Force Majeure
No party will be liable for delay caused by events beyond reasonable control, including natural disasters, extreme weather, fire, epidemic, war, civil disturbance, strikes, transport disruption, government action, grid failure, supply-chain interruption or telecommunications failure.
The affected party must take reasonable steps to minimise delay. If prolonged force majeure makes performance impracticable, the parties may cancel the unperformed portion, with refunds or adjustments determined according to work completed, non-recoverable costs and applicable law.

Parties should first attempt to resolve disputes through good-faith written negotiation.
For disputes not resolved within 30 days, non-consumer disputes may be referred to a sole arbitrator mutually appointed under the Arbitration and Conciliation Act, 1996. The arbitration will ordinarily:
- Be seated in Prayagraj, Uttar Pradesh
- Be conducted in English or Hindi
- Permit online hearings where appropriate
- Result in a reasoned and binding award.
If the parties cannot mutually appoint an arbitrator, appointment may be sought under applicable law.
